Larissa Tkachenko is a partner practicing in our Toronto office.  Larissa was admitted to the Ontario Bar in 1981.  She graduated from the University of Toronto Faculty of Law in 1979, and prior to that, received a B.A. from the University of Toronto.

Areas of Practice

  • Larissa practices taxation law with an emphasis on the taxation aspects of corporate and international transactions, mergers and acquisitions, and financial services matters.

Professional Experience

  • Currently advising domestic and foreign banks and Canadian borrowers on taxation matters relating to the elimination of Canadian withholding taxes on interest.
  • Currently advising multi-national clients as to the implications of the Fifth Protocol to the Canada-U.S. Income Tax Convention on inbound and outbound financing and holding structures.
  • Acting for Citigroup in the BCE takeover as to structuring and acquisition financing tax matters.
  • Acted on acquisitions of Canadian income funds by foreign private equity, including the $1.3B acquisition of Union Energy by Alinda Capital Partners.
  • Acting for Phillips, Hager & North Investment Management in its business combination with Royal Bank of Canada.
  • Acted for Larco Investments Limited in its $1.5B acquisition and financing of federal buildings from Public
    Works and Government Services Canada in November of 2007.
  • Acts for public and private companies in connection with corporate reorganizations, mergers, acquisitions and divestitures, cross-border transactions and joint ventures.
  • Acts for foreign and domestic counterparties to financial derivative contracts.
  • Advises corporate clients on taxation matters relating to ongoing business operations and commercial contracts.
