Background

Alfred Page is a business law partner practising in our Toronto office.    He is currently a member of the Securities Advisory Committee to the Ontario Securities Commission.  He is the Toronto regional leader for our Securities and Capital Markets practice group, and our Venture Capital industry focus group.
Alfred opened our London, England office in 1993 and served as London resident partner from 1993-97.  Alfred was admitted to the Ontario Bar in 1981 and as a solicitor in England and Wales in 1996.  He articled with our firm in 1979-80.  He graduated from University of Toronto Law School in 1979, after undergraduate work in arts and philosophy at York University and University of Toronto.

Areas of Practice

  • Alfred practices securities law with an emphasis on corporate finance, mergers and acquisitions, private equity, venture capital, hedge funds, technology and inbound investment.

Professional Experience

  • Alfred advises a broad range of Canadian and international corporate finance and business clients, including companies, funds and underwriters, in connection with public issues, stock exchange listings, corporate governance and private placements of securities; public and private buyers, sellers, minority shareholders, independent committees and investment bankers in connection with mergers and acquisitions, and related due diligence projects.
  • Alfred has recently represented a number of private equity, venture capital and hedge fund sponsors, managers and investors in respect of fund formation, private investments, strategic acquisitions, leveraged buy-ins, leveraged buy-outs, public offerings and other planned exits, particularly in respect of technology-based enterprises.
  • He also advises Canadian and international securities dealers and investment advisors in connection with registration matters, investment funds and private capital pools. 
  • He represents Canadian and foreign manufacturers, licensees, distributors and technology companies regarding distribution and joint venture arrangements in North America and Europe; European passive and strategic investors in Canada.
  • For example, Alfred has:
    • Advised on offering and registration matters regarding the introduction of a novel financial product in Canada.
    • Recently represented an private ethanol producer on its mezzanine round pre-IPO financing.
    • Represented a major Canadian private equity fund sponsor in forming and distributing its latest fund of fund offerings, and investment of the proceeds.
    • Represented selling shareholders in successfully disposing of significant interests in Schneider Corporation (contested share exchange takeover bid), Midland Walwyn Inc. (share exchange arrangement), SVC O’Donnell (cash out arrangement) and Nanowave Technologies Inc. (private share exchange);
    • Represented Electrohome Broadcasting Inc., the largest shareholder of CTV Inc., in successfully attracting a cash bid for itself in the acquisition of CTV Inc. by BCE Inc.;
    • Advised NTB Neurotrophic Bioresearch Inc. in its private financing and combination with IGT Pharma Inc. to form Prescient NeuroPharma Inc.;
    • Advised Lycos Inc. in the formation of Sympatico - Lycos Inc.; and
    • Advised Fakespace Systems Inc. on private financing, capital reorganization and combination with Mechdyne Corporation.

Professional and Community Activities

  • Alfred is an author, speaker, seminar leader, chair and conference organizer on diverse topics including cross border finance, mergers and acquisitions, financing high technology, international securities and investment funds offerings, private placements and venture capital, international banking syndications, international joint ventures, financing biotechnology, general business law and corporate proceedings.
  • Member, Canadian Bar Association; Member, International Bar Association, Section on Business Law (Banking, Investment Funds and Securities Committees [Secretary, Securities Committee, 1991-93]).
  • Co-Founder, Toronto Biotechnology Initiative; Director and Secretary, Médecins Sans Frontières Canada/Doctors Without Borders Canada (1991-1999), Director, Médecins Sans Frontières Holland/Artsen Zonder Grenzen (1997-98).
