Background

Nigel Cave is a partner in our Vancouver office.  He is the Vancouver regional leader of our Securities and Capital Markets practice group. 
Nigel was admitted to the British Columbia bar in 1994.  He is a graduate of the University of British Columbia with a Bachelor of Laws and a Bachelor of Commerce, both in 1992.  In 2004, Nigel was named by LEXPERT as one of the "Top 40 Under 40" lawyers in Canada.  He was also named in LEXPERT/American Lawyer Guide as one of the leading 500 lawyers in Canada and named by The Best Lawyers in Canada in the Corporate area of practice.

Areas of Practice

Nigel practices corporate/commercial law with an emphasis on corporate finance, mergers and acquisitions, reorganizations, corporate governance and commercial transactions.

Professional Experience

  • Practice is both transaction oriented and advisory, and includes corporate finance and mergers and acquisitions in a wide variety of industries.
  • Advises public companies and their boards of directors with an emphasis on regulatory compliance, corporate governance matters and directors’ duties and responsibilities.
  • Acts for investment banking firms on underwriting and corporate financing transactions.
  • Represented the Canadian Securities Administrators with respect to their policy initiative to harmonize Provincial disclosure obligations for public companies which resulted in the drafting of National Instrument 51-102 Continuous Disclosure Obligations (“NI 51-102”) and National Instrument 71-102 Continuous Disclosure and Other Exemptions Relating to Foreign Issuers (“NI 71-102”).
  • Represented Weyerhaeuser Company Limited in the disposition of its coastal B.C. division to Brascan Corporation for $1,200,000,000.
  • Represented Weyerhaeuser Company Limited in the disposition of its Canadian building materials distribution business to a U.S. private equity firm for $120,000,000.
  • Represented Boston Pizza International Inc. and Boston Pizza Royalties Income Fund in the initial public offering of trust units of a royalty income fund – approximate transaction value $100,000,000.
  • Represented a TSX listed company in a plan of arrangement transaction which resulted in the reorganization of the public company into 2 separate companies and the subsequent listing of two new TSX listed public companies – approximate transaction value $100,000,000.
  • Represented a TSX listed company in the disposition of its Canadian and U.S. building construction materials manufacturing and distribution operations to a U.S. competitor for U.S. $70,000,000.
  • Represented a TSX listed company in a series of acquisitions of private information technology services companies in both Canada and the U.S. – aggregate transaction values of approximately $80,000,000.
  • Represented, a senior commercial partner, British Columbia Railway Company and the Province of British Columbia with respect to the public/private partnership of the industrial freight rail division of BC Rail Ltd. – approximate value of $1,000,000,000.

Professional and Community Activities

  • Member of the BC Securities Commission’s Securities Law Advisory Committee 2006 – 2007
  • Member of BLG’s National Pro Bono Committee and Chair of BLG Vancouver’s Pro Bono Committee.
  • Member of BLG Vancouver’s Read’s to Kids Committee (a national program of the firm that provides books and other resources to inner city schools and sees over 250 BLG lawyers and staff reading in inner city schools).
  • Adjunct Professor at University of British Columbia during 1996 - 1999 teaching “Close Corporations”.
